Entain Launches €800m Bond Offering to Strengthen Debt Profile

Entain has unveiled plans to issue a bond offering worth at least €800m ($925m)-equivalent, comprising euro and/or sterling-denominated senior secured notes due in 2031. The notes will be “guaranteed and secured on a pari passu basis with the group’s existing Term Loan B facilities,” according to the company.

The initiative forms part of a broader refinancing strategy designed to extend Entain’s debt maturity profile, diversify its funding base, and reduce annual interest expenses. The company stated that, if completed, proceeds from the offering will be used to repay amounts currently outstanding under its euro-denominated Term Loan B facilities.

The “final size, pricing and terms of the notes will be determined at the time of issuance, subject to market conditions,” with further updates to follow as appropriate. Entain also confirmed that the offering will be targeted exclusively at non-US persons under Regulation S and will not be open to retail investors in the UK or EU, in line with prospectus and PRIIPs requirements.

The company emphasised that this announcement “does not constitute an offer to sell securities,” and that any investment decision should be based solely on the official offering memorandum. Entain added that the notes will be issued in offshore transactions and “will not be registered under US securities laws.”

Earlier this year, Entain reaffirmed its commitment to optimising its balance sheet amid regulatory changes across several jurisdictions. The group has prioritised operational efficiency and financial resilience following a period marked by rising compliance costs and restructuring.

In parallel, Entain has continued to expand its trading and content partnerships. In October, Entain CEE entered into a deal with Beter to supply SuperSport in Croatia and STS in Poland with fast-betting esports and sports competitions, including the ESportsBattle formats and Setka Cup table tennis series — key content segments that the company says underpin its engagement strategy across Central and Eastern Europe.
