Tabcorp to Acquire BetMakers in A$283m Wagering Tech Overhaul

Tabcorp to Acquire BetMakers in A$283m Wagering Tech Overhaul

Australian gambling giant Tabcorp has agreed a deal to acquire B2B wagering technology provider BetMakers for approximately A$283m (£143.7m), aiming to accelerate its internal technology transformation and establish an international B2B growth engine.

Under the terms of the transaction, Tabcorp will acquire BetMakers for A$0.24 per share, giving the business an enterprise value of around A$267m. The offer represents premiums of 41 per cent, 42 per cent, and 37 per cent over BetMakers' one-, three-, and six-month volume-weighted average share prices respectively.

The acquisition will allow Tabcorp to replace legacy systems with BetMakers' modern tech stack, incorporating its pari-mutuel tote technology, racing data, and analytics infrastructure to upgrade its media and betting offerings across global markets.

Commenting on the transaction, Gillon McLachlan, Managing Director and Chief Executive Officer of Tabcorp, said:

Global B2B Scale and Synergies

The deal unites Tabcorp's media rights and customer relationships with BetMakers' global B2B footprint, which spans Australia, Asia, Europe, the UK, and the Americas through its Global Betting Services and Global Tote divisions.

Highlighting the commercial potential of the combined entity, Jake Henson, Chief Executive Officer of BetMakers, added:

Bringing together Tabcorp’s rights, content and relationships with BetMakers’ platforms, data and B2B wagering services will create a more complete and compelling global offering for our customers, and an exciting future for our people.

Deal Summary & Financial Highlights

  1. Transaction Value: A$283m equity value (A$0.24 per share) with an enterprise value of approximately A$267m.

  2. Expected Cost Synergies: Tabcorp is targeting around A$30m in annual run-rate cost savings by the end of year two post-completion.

  3. Completion Timeline: Subject to regulatory and shareholder approvals, the deal is scheduled to close in Q3 of Tabcorp's 2027 financial year (early calendar year 2027).

  4.  Performance: BetMakers ended FY26 strongly, reporting Q4 revenues of A$24.2m (up 9.4% YoY) and adjusted EBITDA of A$4.5m (up 89.3% YoY).
