Bragg Gaming Secures US Footprint Expansion with Completion of Drayton Acquisition

B2B iGaming provider Bragg Gaming Group has finalized its $9m (£7m) takeover of Drayton International, a transformational deal aimed at accelerating the group's market expansion across the United States.

Originally announced in May, the transaction was satisfied entirely through the allotment and issue of 4,500,000 new common shares.

The acquisition secures Bragg immediate access to the US advance deposit wagering (ADW) and horse racing sectors while expanding its distribution footprint through Drayton’s equity stakes in several licensed game development studios. The acquired content pipeline will be integrated into Bragg’s existing aggregation hub and Player Account Management (PAM) architecture.

Outline the strategic rationale, Bragg CEO Matevž Mazij commented:

Drayton gives Bragg a direct, credible entry into the US advance deposit wagering (ADW) market, a diversified portfolio of studio equity interests and proprietary distribution infrastructure that materially expands our content scale.

Beyond this transaction, our studios continue to expand the breadth of games and features across the platform, including the early application of AI-assisted development tools to help us bring new content to market faster. We see real long-term potential here, and we intend to be direct with shareholders and the market as that work matures.

Leadership Reshuffle and Governance Changes

The completion of the acquisition brings major structural changes to Bragg’s board of directors.

Matt Davey, founder and chairman of investment firm Tekkorp Capital, has been appointed as Non-Executive Chairman, succeeding Holly Gagnon. Davey currently controls a 10.09 per cent equity stake in Bragg on a non-diluted basis via Tekkorp.

Outgoing chair Holly Gagnon, who remains on the board as an independent director, welcomed Davey’s appointment:

Matt is highly respected throughout our industry and brings deep strategic, operational and governance experience. His track record speaks for itself, but what stands out to me is that he’s not just advising Bragg, he’s now genuinely invested in where we go next.

As we enter this next phase following the transaction, we’re glad to have that experience and perspective on the board as we focus on execution and long-term value for shareholders.

Gagnon's leadership transition comes alongside her upcoming induction into the American Gaming Association’s (AGA) Gaming Hall of Fame Class of 2026, set to take place at G2E in Las Vegas.

Incoming Chairman Matt Davey set out his immediate focus for the business:

Bragg has built the foundations needed for a powerful platform and distribution business: real content, real technology, and real licences in highly regulated markets.

The next chapter is about disciplined execution – focus, balance sheet strength, operating cash flow, and revenue growth driven by letting the product do the talking. I’ve built businesses through this phase before, and I look forward to supporting the board and management as they do it here.

In a separate corporate governance update, Bragg confirmed that CEO Matevž Mazij has stepped down from his position on the board. The resignation follows the company's majority voting policy after Mazij failed to secure a majority re-election vote at last month’s Annual General Meeting.

The board accepted the resignation, confirming that Mazij will continue in his role as Chief Executive Officer.

Market Reaction

Investors reacted positively to the closing of the deal and executive changes. Shares in Bragg Gaming Group Inc (TSE:BRAG) closed up 9.39 per cent at CA$2.33 during trading in Toronto on Wednesday.
